Terms of Service

1. Introduction / Acceptance of Terms
1.1 These Terms of Use ("Terms") govern your access to and use of Lume's services, platform, website, APIs, and related functionality (collectively, the "Service").
1.2 By using the Service (including onboarding as a creator, connecting accounts, or accessing features), you agree to these Terms, as well as any policies referenced herein (including Meta & YouTube API terms). If you do not agree, you must not use the Service.
1.3 We reserve the right to modify or update these Terms. We will notify you (e.g. via email or by posting a notice) of material changes, and your continued use after the change constitutes acceptance.
2. Definitions
User / Creator / You: an individual or entity using Lume's Service (e.g. onboarding, connecting accounts).
Platform / Service: Lume's application, website, APIs, dashboards, and features.
Third-Party APIs: Meta APIs (Facebook, Instagram, etc.), YouTube APIs, and any future APIs integrated.
User Data: data about you (or your accounts) that you permit Lume to access, store, or process.
API Data: data retrieved from or sent to third-party APIs under your authorization.
Prohibited Use: uses disallowed under these Terms or under third-party API policies.
3. Use of Third-Party APIs & Compliance
3.1 API Terms Supersede — In using Lume, you also agree to comply with the applicable Terms and Developer Policies of Meta and YouTube (and any other third-party APIs we adopt).
For YouTube APIs, you must adhere to the YouTube API Services Terms of Service and YouTube Developer Policies (e.g. no modifying or obscuring ads, respecting branding, etc.)
For Meta APIs, you must comply with Meta's Platform Terms, Developer Policies, and Data Use policies.
3.2 Authorized Use Only — You may only use API credentials (OAuth tokens, access tokens) that you are entitled to access. You must not masquerade or misrepresent identity to third-party APIs.
3.3 No Circumvention — You must not circumvent, interfere with, or bypass restrictions or quotas imposed by the APIs (e.g. rate limiting) or attempt unauthorized access.
3.4 No Modification of API Content — You may not modify, obscure, or remove content delivered by the APIs (e.g. YouTube ads, branding) in ways disallowed by those providers.
3.5 Suspension / Revocation — If your API credentials are suspended, revoked, or terminated, you must promptly cease using the relevant features of Lume.
4. Account / Onboarding / Creator Obligations
4.1 You represent you have the legal capacity to bind yourself (or your entity) to these Terms.
4.2 In onboarding, when you link your Meta / YouTube account(s), you grant Lume permission to access certain data (within the scopes you approve). You must not link accounts you don't have rightful access to.
4.3 You are responsible for keeping your login credentials, API tokens, and account information secure.
4.4 You agree not to use the Service for spam, harassment, fraud, or other unlawful activities.
4.5 You must comply with any guidelines we publish for creators (e.g. content rules, usage rules).
4.6 We reserve the right to suspend, disable, or terminate access to your account for violations of these Terms or any third-party API policies.
5. Intellectual Property / Content
5.1 You retain ownership of your content or data (e.g. content you upload, account-associated content).
5.2 You grant Lume a license (non-exclusive, worldwide, limited to operating the Service) to use, store, display, and transmit your content as needed to provide the Service.
5.3 You warrant that you have all rights to grant such license, and your content does not infringe third-party rights.
5.4 All software, trademarks, designs, documentation, and other intellectual property belonging to Lume remain our property.
6. Privacy & Data Use
6.1 Our Privacy Policy (below) applies and is incorporated by reference.
6.2 You consent to Lume collecting, storing, processing, and retrieving the data you authorize, as described in the Privacy Policy.
6.3 You may revoke permissions from linked APIs; if access is revoked, Lume may no longer provide certain functions.
6.4 We will comply with applicable laws regarding data protection in the jurisdictions we operate.
7. Disclaimers / Limitation of Liability
7.1 No Warranty — The Service is provided "as is," without warranties of any kind, whether express or implied (e.g. merchantability, fitness for a particular purpose).
7.2 API Dependency — Because we rely on third-party APIs (Meta, YouTube), we cannot guarantee uninterrupted or error-free access.
7.3 Limitation of Liability — To the maximum extent allowed by law, Lume's total liability to you for any claim arising out of or relating to these Terms or the Service is limited to the amount you have paid (if any) in the 12 months prior (or a nominal amount, if free).
7.4 Indemnification — You agree to indemnify and hold harmless Lume and its affiliates, employees, and agents from claims arising from your breach of the Terms, violation of third-party rights, or misuse of the Service.
8. Termination
8.1 We or you may terminate these Terms or suspend access at any time, for any reason (e.g. policy breach).
8.2 Upon termination, your access to the Service ceases; we may delete or anonymize certain data after a retention period.
8.3 Sections that should survive termination (e.g. intellectual property, disclaimers, indemnification) will continue in effect.
9. Governing Law & Dispute Resolution
9.1 These Terms are governed by the laws of [Jurisdiction, e.g. India / Delhi / your choice].
9.2 Any dispute will be resolved via arbitration or courts in [City / State], unless otherwise required by law.
10. Miscellaneous
10.1 Severability — If any provision is held invalid, the rest remain enforceable.
10.2 Entire Agreement — These Terms, plus any referenced policies, are the full agreement between you and us regarding the Service.
10.3 Waiver — Our failure to enforce a right is not a waiver of that right.
